Terms of Service

1. Independent Consultant Status

Krrish Web Solutions, operated by Krishna L Gupta, provides services strictly as an independent consultant, lead architect, and freelance contractor. Nothing in these Terms or any project agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between Krrish Web Solutions and the Client.

2. Project Scope & Change Orders (Scope Creep)

All web development and digital marketing projects are governed by a specific project proposal or invoice.

• Defined Scope: We will deliver exactly what is outlined in the agreed-upon proposal.
• Change Orders: Any requests for additional features, pages, functionality, or structural changes outside the original scope will be treated as a "Change Order" and will require a separate quote and additional billing.

3. Payments, Retainers & Third-Party Costs

• Web Development: A non-refundable upfront deposit (typically 50%) is required to initiate the project. The remaining balance is due immediately prior to the final site launch or handover.
• Ads & SEO Retainers: Monthly retainer fees for Google Ads API management, fraud protection, and SEO are billed at the beginning of each cycle. Services will be paused if invoices are unpaid for more than 5 days.
• Third-Party Costs: The Client is 100% responsible for all third-party expenses. This includes direct Google Ads spend, premium plugin licenses, and hosting/domain renewals after the first year. Krrish Web Solutions is never liable for paying a client's ad spend.

4. Client Responsibilities & Dormancy (Ghosting)

Timely communication is critical for custom development.

• The Client agrees to provide necessary access credentials (domain registrars, Google My Client Center (MCC) linkage, branding assets) in a timely manner.
• Dormancy Clause: If a Client fails to respond to requests for feedback, assets, or approvals for more than 30 consecutive days, the project will be considered "dormant." A restart fee of ₹5,000 may be required to resume a dormant project, subject to developer availability.

5. Post-Launch Support & Maintenance

Upon final deployment, the Client will receive a 30-Day Bug Fix Warranty, during which any technical errors directly related to our original code will be fixed free of charge. After 30 days, any updates, design changes, server migrations, or technical support require an active Monthly Maintenance Retainer or will be billed at our standard hourly consulting rate.

6. Intellectual Property, Code Ownership & Single-Domain License

Krrish Web Solutions engineers highly complex, proprietary backend architectures. To protect our intellectual property, the following strict licensing terms apply to all custom development projects:

• Frontend Ownership: Upon final payment, the Client assumes ownership of their specific frontend design elements, branding, logo, and text content.
• Backend Code Ownership: Krrish Web Solutions retains 100% copyright and intellectual property rights over all underlying custom PHP codebases, database schemas, API integration logic, security scripts, and programmatic SEO frameworks deployed on the site.
• Single-Domain License: The Client is granted a non-exclusive, non-transferable license to use the developed codebase strictly on the single, originally agreed-upon domain name.
• Strict Prohibition on Duplication: The Client is strictly prohibited from copying, cloning, reverse-engineering, reselling, or deploying our custom source code onto any other domain or server. You may not purchase one website and duplicate its backend code to launch multiple websites.
• Developer's Right to Re-use: As the creator and sole owner of the underlying architectural codebase, Krrish Web Solutions retains the absolute, unrestricted right to use, modify, and deploy the same baseline code, frameworks, and system structures to build websites for other clients, regardless of industry.
• Legal Enforcement: Any unauthorized duplication, distribution, or deployment of our proprietary codebase onto unauthorized domains constitutes software piracy. Krrish Web Solutions will pursue immediate legal action for copyright infringement, seek financial damages, and issue DMCA takedown notices to the offending web hosts.

7. Termination & Kill Fees

Either party may terminate a project with written notice. If the Client terminates a custom web development project before completion, the initial deposit is non-refundable. If the project is more than 50% completed at the time of cancellation, the Client will be billed for a prorated amount based on the work completed up to the termination date.

8. Limitation of Liability (Ads & SEO)

While we deploy advanced systems to maximize ROI, protect against click-fraud, and engineer programmatic SEO, digital marketing involves variables controlled by third parties (e.g., Google). Krrish Web Solutions does not guarantee specific sales volumes, immediate page-one rankings, or complete immunity from sophisticated bot networks. We shall not be held liable for losses incurred due to Google Algorithm updates, account suspensions triggered by the client's business practices, or depleted ad budgets.
